Terms and Conditions

1. Introduction
Welcome to Cherrypic.
These Terms and Conditions (“Terms”) govern your access to and use of Cherrypic, including our website, browser extensions, desktop applications, mobile applications, Application Programming Interfaces, and related features collectively, the “Service”.
The Service is owned and operated by Nomad Products LLP, an LLP registered in India (“Owner,” “we,” “our,” or “us”).
By creating an account, subscribing to a paid plan, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. About the Service
The Service is a personal knowledge, bookmarking, and content organization SaaS product. It may allow you to save links, bookmarks, notes, tags, collections, metadata, annotations, files, and other user-provided content.
We may update, improve, modify, suspend, or discontinue parts of the Service from time to time.
3. Account Terms
To use certain features of the Service, you may need to create an account.
You agree that:
- You will provide accurate and complete account information.
- You are responsible for maintaining the security of your account and login credentials.
- You are responsible for all activity that occurs under your account.
- You must not share your login credentials with unauthorized users.
- You must notify us promptly if you believe your account has been compromised.
- You must not use the Service for illegal, harmful, abusive, or unauthorized purposes.
- You must comply with all applicable laws while using the Service.
We may refuse registration, suspend access, or terminate accounts where we reasonably believe these Terms have been violated.
4. Age Requirement
You must be at least 13 years old to use the Service.
If the laws of your country require a higher minimum age to use online services, you must meet that higher age requirement.
By using the Service, you represent that you meet the applicable age requirement.
5. User Content
“User Content” means any content, data, links, bookmarks, notes, collections, tags, files, metadata, annotations, or other materials that you upload, save, create, submit, or store through the Service.
You retain ownership of your User Content.
By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, reproduce, display, transmit, and otherwise use your User Content only as necessary to provide, secure, maintain, improve, and support the Service.
This license ends when your User Content is deleted from the Service, subject to reasonable backup, legal, and technical retention requirements described in our Privacy Policy.
You are responsible for your User Content and for ensuring that you have the necessary rights to save, upload, or share it through the Service.
6. Public and Shared Content
The Service may allow you to make certain content, collections, pages, or links public or share them with others.
You are responsible for any content you choose to make public or share.
If you make content public, you understand that others may view, access, copy, or use that content depending on the sharing settings and features available.
We are not responsible for how third parties use content that you choose to make public or share outside the Service.
7. Prohibited Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of others.
- Upload, store, or share unlawful, harmful, abusive, defamatory, obscene, hateful, or otherwise objectionable content.
- Upload malware, viruses, worms, or other harmful code.
- Attempt to gain unauthorized access to the Service, other accounts, systems, or networks.
- Interfere with or disrupt the security, performance, or availability of the Service.
- Scrape, crawl, or extract data from the Service except as expressly permitted by us.
- Use the Service to send spam, unsolicited messages, or abusive communications.
- Reverse engineer, modify, or create derivative works from the Service, except where permitted by law.
- Resell, sublicense, or commercially exploit the Service without our written permission.
- Use the Service in a way that imposes unreasonable load on our infrastructure.
- Misrepresent your association with the Service or any other person or entity.
We may remove content or suspend accounts that we believe violate these Terms or may create legal, security, or operational risk.
8. Browser Extensions and Local Features
The Service may provide browser extensions that help you save and manage content from websites you visit.
The extension may show whether the current page has already been saved in your account, such as by displaying a highlighted or starred icon. This check is performed locally on your device, and we do not send the current tab URL to our servers or third parties just to check its saved status.
If you choose to save the page, the page URL and any related information you provide will be sent to the Service so we can store it in your account.
You are responsible for using the browser extension in compliance with applicable laws, website terms, and third-party rights.
9. Third-Party Content and Websites
The Service may allow you to save, preview, access, or organize links to third-party websites, media, videos, articles, and other content.
Third-party content is not owned or controlled by us. We are not responsible for third-party websites, content, availability, accuracy, policies, or practices.
Your use of third-party websites or content may be subject to their own terms and privacy policies.
If the Service displays embedded third-party content, such as videos or previews, the relevant third-party provider may process data according to its own terms and privacy practices.
10. AI-Powered Features
The Service may include AI-powered or machine-learning features, such as automated tagging, metadata generation, content enrichment, semantic search, or recommendations.
AI-generated results may be incomplete, inaccurate, or unsuitable for your intended purpose. You are responsible for reviewing and deciding whether to rely on AI-generated outputs.
We do not guarantee that AI-powered features will be error-free, accurate, or available at all times.
Your use of AI-powered features is also subject to our Privacy Policy.
11. API Access
The Service reserves the right to offer API access as part of the Service.
API access may be made available for developers, integrations, automation, or advanced users, subject to these Terms, applicable documentation, technical limits, and any additional conditions we may provide.
If you use the API, you agree that:
- You will comply with these Terms and any API documentation or usage limits we provide.
- You will not abuse, overload, disrupt, or attempt to bypass API limits or security controls.
- We may throttle, restrict, suspend, or terminate API access if we believe usage is excessive, harmful, insecure, or in violation of these Terms.
- We may modify, restrict, or discontinue API access at any time.
- You are responsible for any applications, scripts, automations, or integrations you create using the API.
- We are not responsible for third-party tools, integrations, or applications that access your account with your authorization.
12. Paid Plans, Billing, and Taxes
Some features of the Service may require a paid subscription.
Payments, billing, invoicing, tax calculation, and subscription management may be handled by our Merchant of Record and payment provider, Paddle.
By purchasing a paid plan, you authorize our payment provider to charge the applicable subscription fees, taxes, and other charges according to the billing cycle you select.
Subscription fees may be billed monthly, annually, or according to another billing period shown at checkout.
Prices may change from time to time. We will provide notice of material price changes where required by law or where reasonably appropriate.
You are responsible for any applicable taxes, duties, or charges associated with your purchase, unless these are collected and handled by our payment provider.
13. Refund Policy
The Service offers a no-questions-asked refund for your current monthly billing period.
If you are not satisfied, contact us at help@cherrypic.in within thirty (30) days of your latest charge, and we will refund that month’s payment.
Refunds apply only to the most recent monthly charge and do not apply to previous billing periods, unless required by law or approved by us at our discretion.
Your subscription may be cancelled after a refund is issued.
For purchases processed by Paddle, refund timing and payment reversal may also depend on Paddle’s processing timelines and the payment method used.
14. Cancellation and Downgrades
You may cancel your subscription at any time through your account settings, billing portal, or by contacting us at help@cherrypic.in.
If you cancel a paid subscription, your paid features will generally remain available until the end of the current billing period, unless your subscription is refunded, terminated, or otherwise stated at the time of cancellation.
Downgrading or cancelling your plan may result in loss of access to paid features, increased limits, storage, AI features, integrations, or other premium functionality.
We are not responsible for any loss of access to features resulting from your cancellation, downgrade, payment failure, or plan change.
15. Account Deletion
You may request deletion of your account at any time.
Deleting your account may permanently remove your User Content, account information, saved data, and access to the Service.
Some residual copies may remain in backups for a limited period, as described in our Privacy Policy.
We may retain certain information where required or permitted by law, including for legal, tax, accounting, fraud prevention, security, dispute resolution, or enforcement purposes.
16. Service Availability and Changes
We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, secure, timely, or error-free.
We may update, modify, suspend, or discontinue any part of the Service at any time, including features, plans, APIs, integrations, storage limits, AI features, or availability of applications.
We may perform maintenance, deploy updates, or restrict access where needed for security, legal, operational, or technical reasons.
17. Beta and Experimental Features
We may offer beta, preview, experimental, or early-access features.
These features may be unstable, incomplete, changed, or discontinued at any time. They may contain bugs or produce inaccurate results.
We provide beta and experimental features “as is” and without any guarantee of availability, reliability, or suitability.
18. Intellectual Property
The Service, including its software, design, branding, logos, features, interfaces, documentation, and related materials, is owned by the Owner or its licensors.
These Terms do not grant you ownership of the Service or any related intellectual property.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service except as permitted by law or with our written permission.
19. Feedback
If you provide suggestions, ideas, feature requests, bug reports, or other feedback, you agree that we may use that feedback without restriction or compensation to you.
You are not required to provide feedback, but if you do, you grant us the right to use it to improve the Service.
20. Security
We use reasonable technical and organizational measures designed to protect the Service and user data.
However, no online service or storage system is completely secure. You are responsible for maintaining the security of your account, devices, passwords, and authentication methods.
You must notify us promptly if you suspect unauthorized access to your account.
21. Suspension and Termination
We may suspend or terminate your access to the Service if we reasonably believe that:
- You have violated these Terms.
- Your use creates security, legal, operational, or reputational risk.
- Your account is involved in fraud, abuse, spam, unauthorized access, or unlawful activity.
- Required payments are not made.
- We are required to do so by law or legal process.
Where reasonable, we may provide notice before suspension or termination. However, we may act without prior notice where necessary to protect the Service, users, third parties, or the Owner.
You may stop using the Service at any time.
22. Indemnity
You agree to indemnify and hold harmless the Owner, the Service, and their respective partners, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses arising from or related to:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms.
- Your violation of applicable law.
- Your infringement or misappropriation of third-party rights.
- Your misuse of API access, integrations, automations, or third-party tools connected to your account.
We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us in such defense.
23. Disclaimers
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.
We do not warrant that:
- The Service will meet your specific requirements.
- The Service will be uninterrupted, secure, or error-free.
- Data will always be preserved without loss.
- AI-generated results, metadata, tags, previews, or search results will be accurate or complete.
- Any defects or errors will be corrected.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
24. Limitation of Liability
To the maximum extent permitted by law, the Owner, the Service, and their respective partners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunity, or other intangible losses.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid for the Service in the three (3) months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
25. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, and protect personal data.
By using the Service, you acknowledge that you have read our Privacy Policy.
26. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide notice through the Service, by email, or by other reasonable means.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service.
27. Governing Law and Jurisdiction
These Terms are governed by the laws of India, without regard to conflict of law principles.
Subject to applicable law, the courts located in Maharashtra, India will have jurisdiction over disputes arising out of or relating to these Terms or the Service.
28. Miscellaneous
These Terms, together with our Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and us regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
